Terms of Service

1. Acceptance of Terms

By accessing or using the SpeedrunCI platform and related services (the "Service") provided by Navi Interactive Inc. ("Navi Interactive," "SpeedrunCI," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

SpeedrunCI provides a cloud-based continuous integration and continuous delivery (CI/CD) platform designed for Unreal Engine development teams. The Service includes build automation, pipeline management, artifact storage, team collaboration tools, and related features as described on our website.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of others
• Transmit malicious code, malware, or viruses
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for cryptocurrency mining or unrelated compute workloads
• Resell, sublicense, or redistribute the Service without our written consent

5. Your Content & Data

You retain all ownership rights to the content, code, configurations, and data you submit to the Service ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide and improve the Service. We will not access, use, or share Your Content for any purpose other than operating the Service, except as required by law.

6. Payment & Billing

Certain features of the Service require a paid subscription. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Service Level & Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. Enterprise plan customers may be eligible for a separate Service Level Agreement (SLA) with defined uptime commitments and remedies.

8. Intellectual Property

The Service, including its design, features, documentation, and underlying technology, is owned by SpeedrunCI and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEEDRUNCI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SPEEDRUNCI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless SpeedrunCI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your access if you violate these Terms, with notice when practicable. Upon termination, your right to use the Service ceases immediately. We may, upon request and to the extent technically feasible, provide a data export for up to 30 days following termination, after which your data may be deleted.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of changes constitutes acceptance.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Dallas County, Texas.
